SCORTEX SOLUTION TERMS OF USE 

The solution (as described below) is provided by SCORTEX V2, a French société par actions simplifiée with a share capital of 3,488,088.00 euros, registered in the Trade and Companies Register of Nanterre under number 912 785 672, having its registered office at 4 Avenue Pablo Picasso - 92000 Nanterre, France, represented by its Chief Executive Officer Mr. Hugues POIGET (hereinafter referred to as "SCORTEX", "We" or "Our").

ARTICLE 1. WHAT IS THE SCORTEX SOLUTION?

The SCORTEX solution is a quality control solution based on artificial intelligence and relying on an algorithm developed and commercialized by SCORTEX (hereinafter the "Solution"). Based on visual inspection, the Solution aims to allow its user (hereinafter the "User" or "You") to automate the quality control of their production lines with a personalized and custom-made quality control solution. Quality control of any machine part requires specialized knowledge and advanced technology. While visual inspection is one of the most widely used for the inspection of surface defects, speed and human fatigue are often limiting factors in achieving target cycle times. SCORTEX believes that artificial intelligence is the future of quality control systems. By using cameras installed in your facilities, the Solution enables the detection and analysis of defects that can be integrated in real time into your manufacturing processes to diagnose the root cause of defects and reduce overall defect rates. Since the Solution is self-learning, it becomes increasingly efficient as it is used and can adapt to changing circumstances.

ARTICLE 2. HOW DOES IT WORK?

The Solution is composed of two key elements: (i) an application consisting of software and developments accessible via the online platform (or via a box installed on your premises) developed, published, and hosted by SCORTEX and, (ii) the equipment consisting of all the hardware allowing the application to function (cameras, switches, computers, servers, screens, routers, etc.). However, to guarantee the highest level of quality service, the Solution is not a one-size-fits-all solution. Active collaboration and the provision of several documents from you are crucial for SCORTEX to adapt the equipment composition as well as the parameters of the Solution to your specific needs. Following the installation of the Solution on your premises, SCORTEX will, at least during the testing period, need to make adjustments to perfectly meet your needs and environment.

ARTICLE 3. HOW TO USE THE SOLUTION?

Before using the Solution, You will need to enter into an agreement with SCORTEX by which We will grant you a license to use the Solution according to your specific needs.
